These Terms of Service (“Terms”) govern your use of the Alchemize platform and website operated by NeuroForged Ltd, trading as Alchemize (“Alchemize”, “we”, “us”). By creating an account or using the service you agree to these Terms.
1. The service
Alchemize provides lead-capture, qualification, and meeting-booking software for marketing agencies (“the Service”). The Service includes a conversational AI widget, lead-scoring engine, Calendly integration, and an admin portal.
2. Eligibility
You must be at least 18 years old and authorised to enter contracts on behalf of the business you represent. By accepting these Terms you confirm this.
3. Accounts
- You are responsible for maintaining the confidentiality of your login credentials.
- You must notify us immediately at hello@alchemizeiq.com if you suspect unauthorised access.
- You may not share accounts or resell access without written permission.
4. Acceptable use
You agree not to:
- Use the Service to collect data unlawfully or without appropriate consent from your users
- Deploy the chatbot on sites without the lawful right to do so
- Attempt to reverse-engineer, decompile, or extract our proprietary AI models
- Use the Service to send spam or unsolicited communications
- Conduct security testing or penetration testing without prior written consent
- Violate any applicable law or regulation
5. Subscription and payment
- Subscriptions are billed monthly or annually as agreed at sign-up.
- A per-meeting fee applies to each qualified meeting booked through the Service, as set out in your plan.
- All fees are exclusive of VAT where applicable.
- Non-payment within 14 days of the invoice due date may result in suspension.
- No refunds are issued for partial months unless required by law.
6. Free trial
Where a free trial is offered, it lasts 14 days from account creation. No credit card is required during the trial. At the end of the trial, the account is suspended unless you subscribe.
7. Data processing
Where you deploy the Alchemize widget on your clients’ websites, you are the data controller for the personal data collected from those visitors. Alchemize acts as your data processor. A Data Processing Agreement (DPA) is available on request and governs this relationship in addition to these Terms.
8. Intellectual property
- Alchemize retains all intellectual property rights in the Service, including AI models, software, and brand assets.
- You retain ownership of the data you upload or that your chatbot collects on your behalf.
- By using the Service you grant Alchemize a limited licence to process your data solely to provide the Service.
9. Confidentiality
Each party agrees to keep the other’s confidential information private and not to disclose it to third parties without consent, except as required by law. This obligation survives termination.
10. Uptime and SLA
Alchemize targets 99.5% monthly uptime for the platform API. Scheduled maintenance is announced at least 24 hours in advance. Credits for downtime below the SLA threshold are available on request for Growth and Scale plans.
11. Limitation of liability
To the maximum extent permitted by law, Alchemize’s aggregate liability to you for any claim arising from or relating to these Terms is limited to the fees you paid in the 3 months preceding the claim. We are not liable for indirect, incidental, or consequential damages including lost profits, lost leads, or business interruption.
12. Warranties
The Service is provided “as is”. We warrant that we will provide the Service with reasonable skill and care. We do not warrant that the Service will be error-free or that AI-generated outputs will be accurate in all cases.
13. Termination
- Either party may terminate with 30 days written notice.
- We may terminate immediately for material breach, non-payment, or violation of the acceptable use policy.
- On termination, your data is available for export for 30 days then deleted.
14. Governing law
These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
15. Changes to these Terms
We may update these Terms. We will give 30 days notice of material changes by email. Continued use after the effective date constitutes acceptance.
